The relationship between European cooperatives and human rights: a contribution to the debate on the current EU proposal for a Sustainability Directive.

Abstract

Στις μέρες μας η βιωσιμότητα είναι το επόμενο βήμα ανάπτυξης του δικαίου των εταιριών. Η διατριβή αυτή αξιολογεί την πρόταση οδηγίας της ΕΕ σχετικά με τη βιωσιμότητα και κάνει κάποιες εισηγήσεις βασιζόμενη σε στοιχεία του δικαίου των ανθρωπίνων δικαιωμάτων όπως αυτό εκφράζεται σε άλλες μορφές επιχειρησιακής οργάνωσης, όπως τον συνεταιρισμό. Παράλληλα, εισηγείται ότι σε κάποια ζητήματα, κυρίως όσον αφορά τα καθήκοντα των διευθυντών μιας εταιρίας περιορισμένης ευθύνης, μόνο το Ευρωπαϊκό Δίκαιο των Εταιριών μπορεί να δώσει τις απαντήσεις που χρειάζονται.

The present debate on human rights due diligence (HRDD) in company law, culminating in the European Commission’s February 2022 Proposal for a Corporate Sustainability Directive, centres on whether it is possible to expect companies to enforce human rights and on the nature of the liability this will impose, especially on directors. The dissertation examines the debate and seeks to contribute to it by arguing that cooperatives, historically and contemporarily based on human rights principles and linked to business law and the market as they are, may have some unique guidance to offer in relation to the complexities of the application of HRDD. At the same time, there are questions that will perhaps be best addressed by the Commission, in the process leading up to the passing of the Directive. In examining the argument contained therein, the dissertation uses original nineteenth-century British sources on cooperatives, current legislation, European/International law/ United Nations instruments and a variety of scholarly writing on cooperatives, companies and on human rights.
